Anthropic, the developer of the AI assistant Claude, is moving forward with plans for a major stock market listing that could raise up to $100 billion. The company filed for an initial public offering (IPO), positioning itself as one of the largest anticipated market debuts in history. Analysts view the move as a key test of investor appetite for artificial intelligence amid growing market turbulence.

Financial Challenges and Revenue Sources

The company disclosed significant financials in its filing, reporting losses exceeding $80.7 billion in the first half of the year while generating $16.3 billion in revenue. Notably, 23 percent of that revenue came from just two unnamed customers, highlighting concentration risks. These figures fuel concerns about the sustainability of AI spending, as suppliers and chipmakers invest heavily in AI developers who then reinvest into the same ecosystem. US investment bank Morgan Stanley estimates AI-linked companies will borrow £373 billion this year to fund data centers and global infrastructure projects. Meta recently announced a record-breaking £71 billion fundraising drive to support its own AI expansion, showing the sector’s aggressive financial commitments.

Risks and Governance Structure

Anthropic’s 400-page IPO prospectus dedicates nearly a quarter to risk factors, warning that AI models could advance faster than safety and security measures can keep pace. The document cautions that unregulated AI systems might pose “catastrophic or existential risks to humanity” if misused, replicated, or deployed autonomously. Despite these risks, the company asserts AI is “one of the most consequential technologies in human history,” with potential to accelerate scientific breakthroughs and combat diseases like cancer and Alzheimer’s.

The governance structure grants Anthropic’s seven co-founders majority voting control, a design intended to preserve their “stewardship of our mission” over external shareholder influence. Critics, including Morningstar’s chief European equity strategist Michael Field, argue this limits shareholder power over board composition or takeover bids, potentially deterring some investors.

Investor Sentiment and Market Context

The IPO arrives amid a cooling of the AI investment boom, as investors scrutinize whether massive spending aligns with long-term returns. Susannah Streeter of Wealth Club notes that pre-IPO valuations already embed “a hefty dose of future success,” making it harder for new public investors to assess value. Fear of missing out (FOMO) may still drive interest, given Anthropic’s prominence in the AI space. However, the timing coincides with market volatility, adding pressure to justify its $2 trillion valuation.

Broader AI Spending Trends

The sector’s debt-fueled expansion raises questions about circular investment trends. AI developers rely on chipmakers and cloud providers, creating a cycle where suppliers fund AI startups through credit, which then purchase the same technologies. This pattern risks amplifying financial strain if revenue fails to materialize. Meta’s proposed £71 billion fundraising highlights the scale of capital demands, with investors increasingly wary of overleveraged positions in an uncertain economic climate.

Anthropic has not disclosed the number of shares to be sold or set an IPO price, with the listing expected post-US midterm elections. The company’s emphasis on founder control and risk mitigation reflects its attempt to balance innovation with caution, though debates over governance and valuation will likely intensify as the offering nears.
